Additional Agenda for 2007 Annual General Shareholders' Meeting

Subject : Additional Agenda for 2007 Annual General Shareholders' Meeting and Increase Investment in RPC Asia Co., Ltd.

Attention : President The Stock Exchange of Thailand

Rayong Purifier Public Company Limited (RPC) would like to inform the resolutions of the Board of Directors' Meeting No. 2/2007 held on March 1st 2007 as follows:

1) The Board of Directors resolved to add one more agenda to the 2007 Annual General Shareholders' Meeting to be held on Thursday April 5th 2007 at 10.00 a.m. at Vibhavadee-A Room , The Sofitel Central Plaza, 1695 Phaholyothin Road, Jatujak, Bangkok as follows.

Agenda 8 : To consider and approve to allocate to Directors, Advisor, Management, Employees, the unexercised Company's warrants issued to Directors, Advisor, Management, Employees and Securities Re-purchaser under the approval of 2005 Annual General Shareholders' Meeting on April 8th 2005 (ESOP No.1/2005) which were transferred to the Securities Re-purchaser as well as the Company's warrants issued to Directors, Advisor, Management, Employees under the approval of 2005 Ordinary Shareholders Meeting on April 8th 2005 which, as of the date of 2007 Annual General Shareholders' Meeting, is known that the warrants holders will not be able to exercise their warrants on November 30th 2007.

Therefore, the Agenda of the 2007 Annual General Shareholders' Meeting will be as follows:

Agenda 1 : To consider and approve Minutes of the 2006 Annual General Shareholders' Meeting held on March 31st 2006.

Agenda 2 : To consider and approve Company's 2006 Performance and Annual Report.

Agenda 3 : To consider and approve the Audited Balance Sheet and the Profit and Loss Statements for the year ended December 31st 2006.

Agenda 4 : To consider and approve the 2006 Profit Appropriation and Dividend Payment

Agenda 5 : To consider and elect new Directors to replace those due to retire by rotation.

Agenda 6 : To consider and fix the Directors' Remuneration and Bonus.

Agenda 7 : To consider and appoint the Auditors and approve Auditor's fee for the year 2007.

Agenda 8 : To consider and approve to allocate to Directors, Advisor,Management, Employees, the unexercised Company's warrants issued to Directors, Advisor, Management, Employees and Securities Re-purchaser under the approval of 2005 Annual General Shareholders' Meeting on April 8th 2005 (ESOP No.1/2005) which were transferred to the Securities Re-purchaser as well as the Company's warrants issued to Directors, Advisor, Management, Employees under the approval of 2005 Ordinary Shareholders Meeting on April 8th 2005 which, as of the date of 2007 Annual General Shareholders' Meeting, is known that the warrants holders will not be able to exercise their warrants on November 30th 2007. Agenda 9 : To consider other business (if any)

2)The Board of Directors resolved to increase the Registered Capital of RPC ASIA Co., Ltd. (RAC), the 100% subsidiary of RPC, from existing 10,000,000 Baht to 200,000,000 Baht. The increased capital is for RAC's Biodiesel Project to be constructed at Tambol Map-ta-phut, Muang District, Rayong Province. RAC will issue additional 1,900,000 Common Shares at 100 Baht per share amounting to 190,000,000 Baht which will be 100% acquired by RPC.

1. The Date on which the Transaction Occurs : RAC will increase Registered Capital by April 2007 and the share call will be made in accordance with the Cash Requirements of the Project

2. The General Characteristics of the Transaction

- Category of Transaction : Biodiesel Production Plant Capacity 300,000 Liters per day

- Volume of Transaction : Approximately 400 Million Baht

- Volume of Transaction : 12% of Total Assets (Total Assets = 3,327 Million Baht)

- Construction Period : 12 Months

3. The Expected Benefits : Increase of approx. 1,000 Million Baht in Sales Volume per annum;

Approximately Return on Investment (IRR) 15-20% Expand opportunity in Renewable Energy Business in accordance with Government's policy for the country; Sell Biofuel (B100) to refineries for Biodiesel (B5) blending; Export Biofuel or Biodiesel; Returns in terms of RAC's Dividend.

4. Sources of Fund : Company's internal Cash Flow and Term Loan
